Agreement to Terms

By accessing or using the Markus platform, or by issuing a purchase order or accepting an invoice from Markus Tech Ltd, the Customer agrees to be bound by these Terms and Conditions and the accompanying Service Level Agreement (SLA). These Terms apply to educational institutions (schools, colleges, and similar entities) and govern the use of the Markus educational services provided by Markus Tech Ltd.

1. Definitions

• "Markus", "we", "us", or "our" refers to Markus Tech Ltd, a company registered in England and Wales (Company No. 16443285) with registered office at 49 Premier Avenue, Grays, RM16 2SB.
• "Customer" or "you" refers to the educational institution purchasing access to the Markus platform.
• "Authorised Users" includes teachers, administrators, and students associated with the Customer who are granted access.
• "Services" refers to access to and use of the Markus educational platform and associated support, as described in the SLA.

2. Access and Use

• The Customer is responsible for ensuring that its Authorised Users use the Services in compliance with these Terms.
• Markus grants the Customer a non-exclusive, non-transferable licence to use the Services solely for internal educational purposes.
• The Customer shall not resell, sublicense, or provide access to third parties.

3. User Conduct

Users must not:

• Share login credentials or allow unauthorised access.
• Attempt to copy, reverse-engineer, or interfere with the Markus platform.
• Upload or transmit any harmful or unlawful material.

Customers must ensure that users are supervised appropriately, especially when minors are involved.

4. Account Management

• The Customer shall designate an administrator responsible for managing user access.
• Account information must be accurate and kept up to date.
• Markus reserves the right to suspend or terminate access in case of security concerns, breach of terms, or misuse.

5. Data Protection

• The Customer acknowledges and agrees to our Privacy Policy which outlines how personal data is collected and processed.
• Markus Tech Ltd acts as a data processor on behalf of the Customer, who remains the data controller.
• Details on processing, data subject rights, international transfers, and retention are outlined in the Privacy Policy and SLA.

6. Intellectual Property

• Markus Tech Ltd retains ownership of all IP related to the Services.
• The Customer retains ownership of its own content and data.
• Feedback submitted by users may be used by Markus to improve services.

7. Fees and Payment

• Fees are payable as per the invoice issued.
• Non-payment within the stated terms may result in suspension of service.
• All prices are exclusive of VAT unless otherwise stated.

8. Term and Termination

• The agreement continues annually unless cancelled by either party with 30 days' written notice prior to renewal.
• Either party may terminate for breach with notice.
• Upon termination, Customer data may be exported and will be deleted according to the SLA.

9. Disclaimers

• Markus provides the Service "as is" and disclaims any implied warranties of merchantability or fitness for a particular purpose.
• While we aim to provide reliable services, we do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

• Markus' liability is limited to the total subscription fees paid in the preceding 12 months.
• Neither party is liable for indirect, incidental, or consequential damages.
• Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.

11. Governing Law and Jurisdiction

• These Terms shall be governed by the laws of England and Wales.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Updates to Terms

• Markus may update these Terms from time to time.
• Updates will be notified via email or upon login and take effect upon renewal or continued use.
